Swanage Railway has entered an exciting new chapter in its history.

Following a comprehensive governance review and the support of our members, we have successfully transitioned to a single charitable organisation. This change has been carefully planned over many months to create a simpler, stronger and more sustainable structure that will safeguard the railway for generations to come.

The new charity brings together our governance under one organisation, enabling clearer decision-making, improved accountability and greater opportunities to secure funding, including grants that were previously unavailable to us. Most importantly, it allows us to focus our resources on what matters most: preserving our heritage, improving the visitor experience, supporting our volunteers and ensuring the long-term future of Swanage Railway. Good governance is a key part of ensuring charities remain effective, transparent and sustainable for the future.

The Members' Decision

At the Swanage Railway Trust Annual General Meeting held on 11 October 2025, members voted overwhelmingly in favour of implementing the Governance Review and creating a single charitable organisation to secure the long-term future of Swanage Railway.

The resolution authorised the Trustees to implement the governance changes that had previously been approved in principle at the 2023 Annual General Meeting. These changes included:

  • Appointing a new Board of Directors for Swanage Railway Company Limited.
  • Adopting new Articles of Association for the Company.
  • Registering Swanage Railway Company Limited as a charity with the Charity Commission.
  • Making any further amendments to the Company's governing documents required by the Charity Commission to achieve charitable status.
  • Making the Trust's assets available to the Company to enable it to continue operating Swanage Railway in furtherance of its charitable objectives.
  • Following the successful registration of the Company as a charity, transferring the Trust's assets, liabilities, agreements and other interests to the new charity.
  • Once the transfer is complete, winding up the Swanage Railway Trust and removing it from the Register of Charities, while applying to the Charity Commission for the merger to be recorded on the Register of Mergers.

The successful registration of Swanage Railway Company Limited as a charity marked a major milestone in delivering the members' decision. The final stages of the transition are now focused on completing the transfer of assets, memberships and governance arrangements before the Swanage Railway Trust is formally wound up.

Members approve the Governance Review in principle

At the Swanage Railway Trust Annual General Meeting, members voted to support the principle of creating a single charitable organisation to provide a stronger, simpler governance structure for the future.


11 October 2025

Members vote to implement the Governance Review

Members and shareholders voted overwhelmingly in favour of implementing the Governance Review. The resolution authorised the Trustees to:

  • Appoint a new Board of Directors.
  • Adopt new Articles of Association.
  • Register Swanage Railway Company Limited as a charity.
  • Transfer the Trust's assets and liabilities to the new charity.
  • Wind up the Swanage Railway Trust once the transition is complete.

October 2025 – June 2026

Implementation Phase

Following the vote, extensive legal, financial and governance work took place, including:

  • Preparing new governing documents.
  • Working with the Charity Commission.
  • Developing the new governance structure.
  • Planning the transfer of assets, staff, volunteers and memberships.

June 2026

Charitable Status Achieved

Swanage Railway Company Limited was successfully registered as a charity (Charity No. 1218440), marking one of the most significant milestones in the Railway's history.


31 July 2026

Final Company Financial Year Ends

The Swanage Railway Company's final accounting period before the transition closed, allowing preparations for the charity's first financial year.


1 August 2026

The New Charity Begins Operating

The charity opened its own accounts and assumed responsibility for the Railway's day-to-day financial operations.


August 2026

Membership Transition Begins

Members receive information explaining the new charity, the governance arrangements and how their membership will transfer.

Gift Aid also becomes available on eligible memberships and donations, allowing the charity to claim an additional 25p for every £1 donated at no extra cost to supporters.


September 2026

Trustee Recruitment Opens

Recruitment begins for the first elected Trustee Directors of the new charity.

The ballot for the first Trustee Directors closes.


16 January 2027

First Annual General Meeting of the Charity

The first AGM of the new charity takes place at St Emmanuel's Church, Swanage, where members formally elect their first Board of Trustee Directors.


31 January 2027

Transition Complete

The membership transfer and governance transition are completed, marking the successful conclusion of the Governance Review and the creation of a single charitable organisation to lead Swanage Railway into the future.
